Terms and Conditions

COMMAND CREDIT USER AGREEMENT

PLEASE READ CAREFULLY AND UNDERSTAND THIS USER AGREEMENT AND ITS TERMS OF USE BEFORE ACCESSING, USING, OR PLACING AN ORDER THROUGH OUR WEBSITES OR PURCHASING OUR SERVICES. THIS USER AGREEMENT CONTAINS DISCLAIMERS OF WARRANTIES AND LIMITATIONS OF LIABILITIES. THESE TERMS FORM AN ESSENTIAL BASIS OF OUR AGREEMENT.

Your use of the websites, products, and services of Command Credit Corp. (“Command,” “Command Credit,” “we,” “our,” “us”) is governed by this User Agreement. Our products and services (the “Services”) also includes use of commandcredit.com, our accredit web and mobile applications, our CommandInsight e-commerce platform, and other websites and applications that link to this User Agreement (the Websites”), and these terms govern your use of the Services and the Websites. If you do not agree to all terms in this User Agreement, you may not obtain our Services or use our Websites.

THIS USER AGREEMENT CONTAINS LIMITS ON DAMAGES AND ARBITRATION PROVISIONS THAT WAIVE YOUR RIGHT TO A COURT HEARING AND RIGHT TO A JURY TRIAL. ARBITRATION IS THE MANDATORY AND EXCLUSIVE REMEDY FOR ANY DISPUTE.

This User Agreement may change from time to time. You can review the most current version at https://commandcredit.com/terms-and-conditions. Your continued use of our Services or Websites after we make changes is acceptance of those changes, so please check the User Agreement webpage periodically for updates.

Additional Terms May Apply

This User Agreement is the general terms and conditions that apply to use of any Website or any of the Services. Specific Services will have additional terms and conditions that apply to use of those Services. In any conflict between this User Agreement and the terms and conditions for a Service, the Service terms and conditions shall apply. If you order any Services, you have agreed to comply with all such terms and conditions.

Any offer for any product or service made on the Websites is void where prohibited.

Purchaser Representations

By purchasing any Services or using the Website, you represent to Command that:

  • You have read, understand, and agree to this User Agreement
  • You are a commercial and business customer (and not a consumer) with a valid and legal reason for using a Website and obtaining any of the Services
  • You are at least the age of majority in your state or province of residence
  • You have authority and legal capacity to enter into a binding contract with us on behalf of your business
  • You are located in the United States or Canada

Privacy and Security Disclosures

We will collect, use, and disclose personal data we receive from you, whether from using our Websites (including our accredit application) or any Services you purchase according our Privacy Policy. By using the Websites or our Services, you agree that we may use and share your personal information according to the terms of our Privacy Policy.

Our Privacy Policy may change from time to time, and the current version, available at that link, is incorporated into this User Agreement. If you do not agree with our Privacy Policy, please do not use the Websites or purchase any of our Services.

We control and operate our online and mobile resources from within the United States of America. Information collected through the Websites may be stored and processed in the U.S. or in any other country in which our vendors or we maintain facilities. Although we do not actively block or monitor visitors from other countries, our Websites and our Services are intended only for customers from the U.S. and Canada, and not for customers and visitors in other countries, and this User Agreement is not adapted to European data security and privacy laws.

We disclaim any representation that the Websites or the server(s) that make the Websites available are free of viruses or other harmful components. Command is not responsible for any damage to computers or electronic media of any type. Command also is not responsible for any third-party software.

Intellectual Property Notifications

Our Websites, and anything on the Websites, are owned by or licensed to Command Credit and are protected by U.S. and international copyright, trademark, and other intellectual property laws. You do not acquire any ownership or other rights by downloading or using the Websites or any material on the Websites.

Command Credit disclaims any interest in trademarks, service marks, logos, slogans, domain names, and trade names other than its own. Any such intellectual property of third parties is the property of their rightful owners and used with permission. You may not display or use any intellectual property on the Websites without our prior written permission.

Anything on the Websites may not be copied, reproduced, republished, uploaded, posted, transmitted, distributed, or derivative works created from such material without our prior written consent. Any use or modification of our intellectual property, other than in connection with your business’s use of the Services, is expressly prohibited.

Website User Conduct Restrictions

You may not use or attempt to use the Websites or our Services in an unlawful manner or in violation of any of the following restrictions:

  • Hacking and other digital or physical attacks on the Websites
  • Any excessive usage adversely impacting the performance of the Websites
  • Any action that infringes, misappropriates or violates any person’s rights
  • Reverse assembling, reverse compiling, decompiling, translating, or otherwise attempting to discover the source code or underlying components of models, algorithms, and systems, except to the extent such restrictions are contrary to law
  • Any use to develop models that compete with Command Credit
  • Except as permitted in connection with your purchase of our Services, use any automated or programmatic method to extract data or output from the Website, including scraping, web harvesting, or web data extraction
  • Use our Services for any other purpose other than (1) to review your own business credit report, (2) in connection with a present or prospective credit or financial transaction with another business entity, or (3) for other legitimate commercial purposes, and in all cases, for internal purposes only
  • Use our Services as a factor in establishing an individual’s eligibility for personal credit or insurance or for personal, family, or household purposes, or employment purposes
  • Reselling or otherwise sharing with or disclosing any information received from us to a third party

Methods of Purchase

One-Off Single Report Purchases. There are no subscription or separate signup fees for single business report purchases. Report pricing is marked with purchase buttons that will complete the transaction, obligate you to pay the respective fees, and commit you to the terms of this User Agreement and any additional terms and conditions for the specific Services you purchase.

Prepaid Report Purchases. We offer prepaid contracts that allow a customer to purchase Services up to the prepaid amount. Pricing is usually better than for one-off purchase. Once you prepay the specified amount, you may order Services, the cost of which will be deducted from the prepaid amount until exhausted, at which time you can replenish the account or convert to one-off single report purchases.

Monthly Invoiced Purchases. Command Credit also offers monthly invoiced purchasing through accredit. Additional terms and conditions of the accredit Service apply. If you qualify and pay the monthly invoice amount, you may access a specific report for 720 hours (30 days). Refunds are not available if you order fewer Services than the monthly amount. Pricing for monthly invoiced purchases is usually better than for prepaid and one-off purchases.

Month-to-Month Subscription. Our CommandInsight e-commerce platform offers monthly subscriptions, on a month-to-month basis. Customers subscribe one month at a time, and may cancel at any time, with access continuing through the end of the paid-up billing period. CommandInsight users are limited to 250 reports per month and 30 per day; these limits are subject to change. CommandInsight supports multiple concurrent subscriptions from a single user.

All charges are in U.S. Dollars. Refunds are not available unless approved by Command Credit at its sole discretion.

Your Business Information

If you have questions regarding or would like to dispute information in a report for your business, you may request an investigation by contacting Command. Call us at (800) 676-9705 or use the online form in the “Help/Contact Us” sections of our Websites.

Modifications and Discontinuations

We reserve the right to modify or discontinue any Services and may modify or discontinue any of the Websites without notice at any time. Command is not liable to you for any modification, suspension, or discontinuance of access to the Websites or modification, suspension, or discontinuance of any Services. All descriptions of Services and pricing for Services are subject to change at any time without notice, at our sole discretion.

If you interact with us online, such as through our social media presence or use of a search engine or AI chatbot, you understand that the sites and platforms that host our presence or which link to us through search engine and chatbots are not controlled by us and have their own privacy policies and terms of use.

Our Websites also may include materials from third parties or links to third-party websites, for which we are not responsible. Please review carefully the third party’s policies and practices and make sure you understand them before you engage in any transaction involving third party material, links, and websites. Issues regarding third-party products should be directed to the applicable third party.

Payment

By submitting payment information to us, you represent and agree that: (i) you are authorized to use that card or account; (ii) all payment information provided is complete and accurate; (iii) you will be responsible for any payment card fees; and (iv) that sufficient funds exist to pay us the amount(s) due.

We and our third-party payment service providers may request, and we may receive, updated credit card information from your credit card issuer. If, for example, we or our third-party payment service receive updated card numbers and expiration date information, we will update your account information accordingly. Your credit card issuer may give you the right to opt out of providing vendors and third-party payment service providers with your updated credit card information; if you wish to opt out, contact your credit card issuer.

We are not responsible for any fees or charges that your bank or credit card issuer may apply to payments to us. If your bank or credit card issuer reverses a charge to your credit card, we may bill you directly and seek payment by another method (such as a mailed statement).

Disclaimer Of Warranties

COMMAND DOES NOT REPRESENT OR WARRANT THE ACCURACY OR RELIABILITY OF ANY ADVICE, OPINION, STATEMENT, OR ANY OTHER INFORMATION DISPLAYED OR DISTRIBUTED THROUGH THE WEBSITES OR ANY OF OUR SERVICES. YOU ACKNOWLEDGE THAT ANY RELIANCE ON SUCH INFORMATION IS AT YOUR SOLE RISK. IN ADDITION, THE WEBSITES AND ALL SERVICES ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, WHICH ARE DISCLAIMED TO THE FULL EXTENT PERMITTED BY APPLICABLE LAW. WE MAKE NO, AND EXPRESSLY DISCLAIM ANY, REPRESENTATIONS AND WARRANTIES AS TO THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, AVAILABILITY, ACCURACY, AND/OR COMPLETENESS OF ANY INFORMATION ON THE WEBSITES OR PROVIDED THROUGH THE SERVICES. WE DO NOT REPRESENT OR WARRANT, AND EXPRESSLY DISCLAIM, THAT OUR SERVICES OR ANY INFORMATION PURCHASED OR OBTAINED THROUGH THE WEBSITES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

Limitation on Damages

Command’s total liability to you in aggregate relating to the Websites or any Services, whether a claim be in tort, contract, or otherwise, shall not exceed the total fees paid by you. In no event shall Command be liable to you for any consequential, special, indirect, incidental, punitive, or exemplary loss, damage, or expense (including, without limitation, loss of profit, data, business, goodwill, or similar damages) even if advised of the possibility of such damages. Additionally, none of Command’s affiliates, nor its or its affiliates’ respective partners, principals and personnel, shall have any liability to you. Some states do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you and you may have additional rights.

Dispute Resolution by Mandatory Binding Arbitration and Class Action Waiver

Any dispute or claim between you and Command relating to this User Agreement, the Websites, or the Services shall be governed by the Federal Arbitration Act (the “FAA”), 9 U.S.C. §§ 1-16 , shall be submitted to arbitration before a single arbitrator of the American Arbitration Association (“AAA”) in accordance with the AAA’s commercial dispute resolutions procedures and supplementary procedures for consumer-related disputes. The arbitrator shall follow the substantive law of the State of Arizona without regard to its conflicts of laws principles. The arbitration shall take place in Maricopa County, Arizona.

By using the Websites or the Services, you waive the right to pursue or participate in a class action against Command.

You agree that Command has the right to bring a claim against you in the state or federal courts sitting in Phoenix, Arizona, for injunctive relief, equitable relief, or otherwise arising from any potential or actual misappropriation or infringement of its intellectual property rights. You agree that venue is proper and that you are subject to personal jurisdiction in such forum.

Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Command Credit, its parents, subsidiaries, predecessors, successors, and affiliates, and their respective partners, officers, directors, members, managers, agents, representatives, contractors, licensors, service providers, subcontractors, suppliers, employees, and contractors, from and against any and all claims, actions, losses, liabilities, damages, expenses, demands, and costs of any kind, including, but not limited to, reasonable attorneys’ fees, arising out of, resulting from, or in any way connected with or related to (1) your breach of this User Agreement, including the incorporated documents and terms, (2) your breach of any representations or warranties in this User Agreement; (3) your use or distribution of the Services, or (4) your violation of any law or rights of a third party.

Sales Taxes

In certain jurisdictions, sales or transaction privilege taxes at state and local rates may apply, in which case Command will charge you the applicable taxes in addition to the price or monthly fee for the Services you purchase. The list of taxable states is available on the account registration page of our Websites. You are responsible for all sales taxes on your purchases.

We do not have an online method to claim tax-exempt status. If your business is tax exempt, please fax us the appropriate and completed sales tax exemption form to (800) 284-2733, with a cover sheet stating, “Sales Tax Exemption Form.” We will review and notify you within 2 business days if the form is accepted and your account status updated. We cannot refund tax paid on previous purchases, but you may be able to file for a refund from your tax authorities, using a receipt from us to show you have paid tax.

You may contact our agent with complaints that include the information required by the DMCA regarding allegedly infringing material, and we will investigate those complaints. We will remove or disable access to any material that violates any applicable law.

Electronic Communications

You agree that we may communicate with you electronically, including notices, disclosures, agreements, and other communications, and that such communications are in writing and have the same effect as if signed by the party sending the communication.

Unsolicited Ideas

If you provide us with comments, suggestions, or ideas, those are not confidential and become our property. We are not obligated to you for your comments, suggestions, or ideas, and are free to use, copy, or distribute them to others.

Assignment

You may not assign any of your rights under this User Agreement or any agreement to obtain Services from us. Any purported assignment by you is void. Command may assign its rights, in connection with a merger, sale of assets, or otherwise.

No Waiver

No waiver by Command of any term or condition in this User Agreement is a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by Command to assert a right or enforce a term is not a waiver of such right or provision.

Severability

If any provision of this User Agreement is determined to be unlawful, void, or unenforceable, such provision is still enforceable to the extent permitted by law. The unenforceable portion shall be deemed severed, and the invalidity shall not affect the validity and enforceability of any other provision.

Survival

Your representations and warranties, as well as our disclaimer of warranties and your agreement to limits on damages, to arbitrate all disputes, and to waive class action rights and participation and other obligations made or taken by you, shall survive the termination of this Agreement.

Entire Agreement

The current version of this User Agreement (including the current version of any document incorporated into this User Agreement) supersedes and replaces any prior or contemporaneous agreements. Any ambiguities in the interpretation of this User Agreement shall not be construed against the drafting party.
